Ryan Lowther is a senior associate in the Business Transactions and Securities groups at Farella Braun + Martel. He maintains a broad-based general business practice that assists early stage and mature companies meet their corporate, securities, financing and operational needs.
Mr. Lowther has helped his clients start, buy, sell, finance and operate businesses in a variety of different industries including clean technology, hospitality, retail, health and fitness, medical devices, insurance, wine and spirits, print and electronic publishing, professional services and consulting, consumer products, media, technology and Internet-based companies. He regularly advises buyers, sellers, owners, managers, boards of directors and investors on merger and acquisition transactions, exempt private placements, corporate governance matters, executive retention and compensation issues, stock option and equity participation plans, shareholder issues, contract matters, personnel policies and privacy issues. Mr. Lowther also negotiates resolutions of business disputes, and regularly advises family businesses with respect to governance issues and succession planning.
