Ryan Lowther has a broad-based general business practice that assists early stage and mature companies in all industries meet their corporate, securities, financing and operational needs.  He has extensive experience leading merger and acquisition transactions and working with investors in evaluating investment opportunities.


As outside general counsel for many of his clients, Mr. Lowther helps start, buy, sell, finance and operate businesses in a variety of industries including renewable energy, cannabis, wine and spirits, hospitality, retail, health and fitness, medical devices, insurance, print and electronic publishing, professional services and consulting, consumer products, media, technology and Internet-based companies.  He advises buyers, sellers, owners, managers, boards of directors and investors on merger and acquisition transactions, early-stage funding transactions, exempt private placements, corporate governance matters, executive retention and compensation issues, stock option and equity participation plans, shareholder issues, contract matters, personnel policies and privacy issues.  Mr. Lowther also negotiates resolutions to business disputes and has advised family businesses on governance issues and succession planning.


Mr. Lowther’s renewable energy practice includes representing solar manufacturing and project development companies with the acquisition and sale of project assets, individual projects and project portfolios.  He also advises clients on a variety of project development and contract issues and has served as an in-house attorney at one of the world’s leading developers of solar energy projects.


As chair of Farella’s Cannabis Industry Practice, he represents all players in the industry, including cultivators, retailers, manufacturers and investors, in starting, funding and growing their businesses and addressing the significant legal and regulatory hurdles faced by businesses in this industry.  Mr. Lowther works in concert with other attorneys at the firm to assist his cannabis industry clients with addressing employment, environmental, intellectual property (including trademark), insurance, business litigation, product liability (including Proposition 65 defense), real estate and tax matters.


Mr. Lowther is named to the Daily Journal’s 2016 list of the Top 40 Under 40 leading lawyers in California.  He is a member of the Board of Advisors for Sprouts Cooking Club, a chef-in-training program for disadvantaged youth.  He is an active participant and former co-chair of Farella’s Diversity & Inclusion Committee, and is involved with several diverse community organizations including Bay Area Lawyers for Individual Freedom (BALIF) and Lambda Legal.
