Renewable Energy And Clean Technologies Engagements

  • ECOtality - Represent a broad electrical energy innovation company with several merger and acquisition transactions and corporate and securities.

  • Greenline Industries - Provided corporate structuring and financing advice to developer / manufacturer of biodiesel production equipment.

  • Representation of a major, national EPC contractor on a series of gas-to-energy projects where the contractor designed and built facilities at landfills to convert methane gas, a natural byproduct of the landfill, to electricity.

  • Alza Corporation/Johnson & Johnson - Represented company in connection with federal and state environmental and land use permitting issues associated with installation of 1 MW commercial solar PV project, the largest such privately owned facility in California.

  • California Independent System Operator - Represented the California ISO in a wide variety of matters, including arbitrations and disputes with market participants.  Since that time, we have represented independent power producers in connection with transmission access issues.

  • Confidential green technology start ups - Negotiate angel and stage 1 funding, executive compensation and commercial contract arrangements.

  • Guenoc Winery - Represented winery in negotiations of a pending contract for the third party installation and ownership of a large solar power facility.

  • OptiSolar - Provide corporate formation, financing, real estate acquisition and environmental and federal land use permitting representation for major vertically integrated solar energy company that manufactures photovoltaic (PV) modules and produces power from their own large-scale solar farms on federal, state and private property, including the world's largest proposed PV solar farm.

  • Craft and negotiate purchase power agreements and reverse metering structures in western Canada, Hawaii, California and Florida.

  • Negotiate and prepare wind farm and solar site leases for both power producers and land owners.

  • Assist owner of an alternative energy-related business in raising approximately $20 million of equity financing, through private placement and merger with an SEC-registered shelf company, for the purpose of developing new production facilities and acquiring related businesses.

Distressed Assets and Real Estate

  • Alternative Energy. Acted as the examiner in a large bankruptcy of wind turbine company and assisted solar energy clients on financing and sale.

Patent

  • Akeena Solar et al. v. Zep Solar et al. - Defending Zep Solar and groSolar in a patent infringement lawsuit filed in the Northern District of California relating to efficient techniques for mounting solar panels.  After obtaining an early dismissal of Plaintiffs' claim for declaratory judgment of noninfringement because there was no subject matter jurisdiction as to this claim, we sought a stay of the litigation pending an inter partes reexamination of the patent-in-suit in the Patent and Trademark Office ("PTO"). The court recently granted our motion, staying the action pending completion of the reexamination proceedings.
