Public Offerings

Our expertise includes preparing companies for and guiding them through the intricate process of going public and completing follow-on offerings, rights offerings and shelf registrations, as well as representing selling shareholders in secondary offerings.

Private Placements

The Securities Group routinely represents start-up, early-stage and middle-market companies in connection with Regulation D offerings and other private placements of common and preferred stock, stock options, warrants, convertible securities and debt.   We also represent private equity and corporate strategic investors in negotiating and completing investments in early-stage companies.

Private Equity and Venture Capital

We represent private equity and venture capital firms across a range of activities, including fund formation and organization, investment transactions, tax and regulatory matters, dispositions of portfolio companies and compensation and estate planning for partners.
