  • project and project asset sales and financings and associated due diligence review,
  • joint development agreements and contract negotiation,
  • land use entitlements, permitting and environmental review,

  • judicial and administrative agency litigation.

We represent vertically integrated renewable energy companies in the complex acquisition and sale of projects and project assets, including joint development agreements, real estate transactions, environmental and land use permitting, and engineering, procurement and construction agreements.  Some of our clients have business lines that include the design and manufacturing of energy production technology and the development, construction and operation of large-scale solar, wind and geothermal facilities.

We also have deep experience with corporate structuring and financing of biodiesel production facilities and equipment and methane gas production at landfills.  Our corporate team assists green technology start-ups with a variety of financing alternatives, including equity financing, debt offerings, multi-stage auctions and leveraging federal and state tax credits.

We advise national and international EPC contractors in connection with the design and development of renewable energy production facilities.  We have negotiated leases for power purchasers and land owners, module and stock supply agreements and various construction, real estate, permitting and mitigation contracts and permits.

Farella is unique in being able to provide advice and representation across a wide range of energy projects.  We have assisted our clients at every stage of development for both distributed and utility scale projects in California, Nevada, Arizona, New Mexico, Hawaii, Florida and Western Canada.  In addition, at the request of clients, we regularly provide our partners and associates to function as members of clients’ in-house legal teams.
