Biography
Katharine is a corporate and securities attorney with a practice focus on representing growth companies, as well as their founders, management, investors, and directors, at all stages of the corporate lifecycle. She regularly advises clients on entity formation and structuring, capital raises via issuance of debt or equity or both, mergers and acquisitions, other significant transactions such as joint ventures and commercial agreements, compensatory equity arrangements, adoption of corporate governance best practices, and compliance with state and federal securities laws. Katharine has significant recent experience advising clients on cross-border transactions, with a particular emphasis on entities and investors operating in Latin America and/or organized under Cayman Law.
In her company-side practice, Katharine works closely with company management and boards of directors as they form and structure a business, seek growth capital, and develop and execute on business plans in order to holistically address key business needs for founders and investors. Katharine also regularly advises boards of directors and management on corporate governance topics including fiduciary duties, both generally and in unique circumstances such as in M&A and “zone of insolvency” contexts. In her investor-side practice, Katharine advises angel, venture capital, private equity and corporate investors on company diligence and the negotiation, structuring, and execution of investments.
Because Katharine has experience representing growth companies and their investors and management from formation to exit, she is able to advise clients in each transaction or corporate event with a view to the next one in order to anticipate issues before they arise and ensure that the company will be in a position to efficiently address requests from future investors and regulators as the company matures.
