Swinerton Completes Sale of Renewable Energy Division and SOLV, Inc.

January 5, 2022 Announcement

Northern California legal powerhouse Farella Braun + Martel represented Swinerton Incorporated in the disposition of its renewable energy division Swinerton Renewable Energy (SRE) and wholly-owned subsidiary SOLV, Inc. to private equity firm American Securities LLC. The transaction, finalized on December 23, 2021, combines Swinerton's existing EPC and O&M service groups together under one company name, SOLV Energy, LLC.

SRE has built over seven gigawatts of PV solar capacity in 26 states and was ranked the number one solar contractor in the U.S. in 2021 by Solar Power World. SOLV, Inc. provides Operations and Maintenance (O&M) capabilities both in-house and to third-party plants. Read the deal announcement here.

Phil Peters led the Farella M&A team and was supported by tax partner Said Kordestani on a myriad of tax issues. Business transactions lawyers Drew Goodwin and Shannon Kimball also dedicated themselves to seeing this transaction through to closing.
