Represented an investment group led by Third Leaf Partners in its acquisition of WineBid, Inc., the largest online auction for fine and rare wines.

Invenergy Wind Projects

Represented Invenergy in connection with developing, acquiring and financing wind projects in Colorado and California, including as lead project development counsel with respect to a joint venture between Invenergy and SDG&E developing a wind project on tribal land in Southern California.

Sale of The Prisoner Wine Company

Represented fine wine company Huneeus Vintners in the sale of The Prisoner Wine Company’s portfolio of brands to Constellation Brands, Inc.

Perpetual Energy Systems

Represented Perpetual Energy Systems in connection with renewable energy/construction financing of a $35 million construction term loan and tax equity investment. U.S. Bank served as the construction lender and tax equity sponsor.

The Doctors Company Acquisition of FPIC Insurance

Represented The Doctors Company, the nation’s largest physician-owned medical malpractice insurer, in its $362 million purchase of FPIC Insurance Group, Inc. (NASDAQ: FPIC) as lead counsel on the transactions including a complex corporate tax plan and executive compensation.  The completion of this transaction marks the fifth time that The Doctors Company tapped Farella as their outside counsel for acquisition deals valued cumulatively in excess of $1.2 billion. 

San Francisco Parking on Sale of City Park

Represented San Francisco Parking in the sale of City Park, which operates 85 parking facilities in the San Francisco Bay Area including a number of the area’s most prestigious hotels, hospital facilities, and Levi’s Stadium in Santa Clara, to Imperial Parking Corporation (Impark), one of the largest parking management companies in North America. The sale makes Impark the largest parking operator in the San Francisco Bay Area.

Kenwood Winery Acquisition

Represented Pernod Ricard in its acquisition of the Kenwood Winery.

American Conservatory Theater (A.C.T.) Strand Theater Project

Assisted American Conservatory Theater (A.C.T.) in developing the Strand Theater, a new performing arts facility on Market Street. Tasks have included real estate transactional representation, tax exempt entity formation and qualification, land use entitlements and New Market and Historic tax credits expertise.

Swinerton Incorporated

Advised this prominent general contractor on corporate governance, stock plan and solar energy matters.

Niman Ranch

Represented Niman Ranch in its merger with an affiliate of Natural Food Holdings.

ECOtality Follow On Public Offering

Assisted ECOtality raise about $20M of funds that the company will use in its mission (aided by a previously received large DOE grant) to become a premiere developer, installer and operator of the electric charging smart grid infrastructure that is key to accelerating the roll-out of electric and plug-in hybrid vehicles.

FRV, Inc.

Represented FRV, Inc. in the acquisition of an early-stage, 350 megawatt photovoltaic solar development project, including acquisition of the project entity, land transfers and mitigation land option agreements.

Bechtel Group, Inc.

Represented this international engineering and construction giant on a variety of corporate and shareholder matters.

First Solar Acquisition of NextLight Renewable Power

Assisted First Solar in acquiring, by merger, NextLight Renewable Power’s extensive solar project pipeline in California, Arizona and Nevada valued at $285M. Farella attorneys coordinated the environmental, permitting and land use aspects of the transaction for First Solar.

Rafael Hotels

Represented Rafael Hotels in the sale of its international hotel property portfolio to Mandarin Oriental Hotels for $142.5 million. The transaction involved hotels located in the United States, Germany, Switzerland, Austria, Bermuda, Canada and England.

Stone & Youngberg Sale to Stifel Financial

Represented Stone & Youngberg LLC, a financial services firm specializing in municipal finance and fixed income securities, in its acquisition by Stifel Financial Corp.
