Biography

Carolina de Armas works with Farella Braun + Martel’s renewable energy, wine, and construction clients on a broad range of transactional matters. From mergers and acquisitions to day-to-day business management, including corporate governance, commercial contracts, and long-term planning, Carolina helps large and small clients navigate a strategic course efficiently, maximizing opportunity while managing risk.

As a member of Farella's Clean Energy Group, Carolina advises renewable energy clients on the acquisition and disposition of projects at all stages of development. She also advises energy clients through the project development process, from initial site control through commercial operation. She has negotiated several sales of utility-scale solar projects in the Western United States, as well as in Florida, Texas, and South Carolina, including structuring and negotiating joint venture and development services agreements.  

As a member of the firm’s construction practice, Carolina strategizes with construction industry clients on complex transactions and business-critical matters. She led the Farella team representing a top Northern California builder in its merger with a Canadian-based construction giant, positioning the unified business to deliver expanded services, greater operational efficiency, and enhanced capabilities across North America. Carolina also represented one of the largest independently owned construction materials producers in Northern California, guiding the company through its sale to a leading aggregates producer.

As a member of the firm’s Wine Industry Group, Carolina advises wine industry clients on mergers and acquisitions and other day-to-day business management. Among other matters, she negotiated an investment and joint venture agreement for a Mexican tequila company, restructured a large, family-owned wine business to comply with California ABC regulations, and facilitated various sales and acquisitions of California wineries and vineyards. 

Carolina is an engaging, purposeful, and efficient advocate. She delivers solutions that serve her clients’ best interests and relies on pragmatism and creative strategies rather than default approaches to drafting and negotiation. 

She maintains an active pro bono practice, partnering with local Bay Area organizations to provide immigration screenings and prepare visa applications.
