Jeff Hamilton counsels companies of all sizes, from startups to publicly traded corporations, in a broad range of transactional matters, often in an outside general counsel role. As a practitioner, Jeff is a generalist by design. His practice ranges from mergers and acquisitions, including Hart-Scott-Rodino filings, to equity and debt offerings and venture capital financings, to day-to-day business management, such as fund formation, negotiating commercial agreements, assisting with corporate governance, and overseeing public company and regulated industry reporting compliance.
A few of his matters have involved assisting clients in purchasing a wine portfolio, selling individual wineries as well as the sale of wine brands, selling a construction security company, selling a chain of pizzerias, acquiring a distillery, acquiring insurance companies and insurance brokerages, selling a parking lot management company, selling a transportation company, as well as dozens of venture capital financings.
Jeff also counsels clients in connection with construction projects, such as negotiating construction contracts and architect’s agreements for both commercial and residential projects.
